1. Introduction

Welcome to the DataShield Co. Partner Program. By enrolling as a Partner with DataShield Co. ("Company," "we," "our," or "us"), you ("Partner," "you," or "your") agree to comply with and be bound by the following Terms and Conditions ("Terms"). These Terms govern your participation in our Partner Program, through which you will promote our Customer Relationship Management (CRM) platform and receive commissions for referred sales.

2. Eligibility

To be eligible for the DataShield Co. Partner Program, you must:

Be at least 18 years of age. ( Any one under the age of 18 years old, depending on your location, and state laws, could possibly need a written consent from a Parental Guardian)

Have the legal capacity to enter into a binding agreement.

Operate a website, blog, social media platform, or other content channel that aligns with our brand values and does not contain objectionable or prohibited content.

We reserve the right to approve or reject any application to the Partner Program at our sole discretion.

3. Enrollment in the Partner Program

To enroll in the Partner Program, you must complete and submit the online application form available on our website. By submitting the application, you represent that all information provided is accurate and complete. Upon review, we will notify you of your acceptance or rejection into the program. Acceptance into the program does not constitute an exclusive relationship between you and DataShield Co.

4. Partner Responsibilities

As a Partner, you agree to:

Promote DataShield Co.'s CRM platform in a lawful and ethical manner.

Use only approved marketing materials provided by DataShield Co. or obtain prior written consent for any custom materials.

Comply with all applicable laws, regulations, and guidelines, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and testimonials.

Clearly disclose your affiliate relationship with DataShield Co. in all promotional content, as required by law.

5. Prohibited Activities

Partners are prohibited from:

Engaging in deceptive, misleading, or unethical practices, including false advertising or misrepresentation of DataShield Co.'s products and services.

Bidding on or using DataShield Co.'s trademarks, trade names, or any variations thereof in pay-per-click (PPC) advertising campaigns without prior written consent.

Using spam or unsolicited communications to promote DataShield Co.

Posting affiliate links on coupon, deal, or discount websites without authorization.

Promoting DataShield Co. on websites that contain offensive, inappropriate, or illegal content.

Violation of these prohibitions may result in immediate termination from the Partner Program and forfeiture of any outstanding commissions.

6. Commission Structure

Partners will earn commissions based on the following structure:

Standard Commission: 25% of the net revenue from each new customer referred to DataShield Co. who completes a purchase.

Recurring Commission: 15% of the net revenue from each referred customer for recurring subscription payments, until that client/customer cancels their subsciption.

Net revenue is defined as the gross revenue received by DataShield Co. from referred customers, less any discounts, refunds, chargebacks, and applicable taxes.

7. Payment Terms

Payment Schedule: Commissions are calculated on a monthly basis and paid within [insert number] days after the end of each month.

Payment Method: Payments will be made via Stripe Partners are responsible for providing accurate payment information.

Minimum Payout Threshold: A minimum commission balance of $25 must be reached before payment is issued. Balances below this threshold will roll over to the next payment period.

Currency: All commissions are paid in USD.

8. Tracking and Attribution

DataShield Co. will provide Partners with unique affiliate links to track referrals. It is your responsibility to ensure that these links are properly formatted and used in your promotional efforts. We are not responsible for tracking errors resulting from improperly formatted links.

9. Intellectual Property

DataShield Co. grants Partners a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our CRM platform under this agreement. Partners may not modify, alter, or create derivative works of our intellectual property without prior written consent.

10. Confidentiality

Partners may have access to confidential information, including but not limited to business plans, customer lists, and marketing strategies. You agree to maintain the confidentiality of such information and not disclose it to any third party without DataShield Co.'s prior written consent.

11. Term and Termination

This agreement will commence upon your acceptance into the Partner Program and will continue until terminated by either party. Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, you must cease all promotional activities related to DataShield Co. and remove all affiliate links from your platforms.

12. Disclaimers and Limitation of Liability

DataShield Co. makes no express or implied warranties or representations with respect to the Partner Program or any DataShield Co. products or services. In no event shall DataShield Co. be liable for any indirect, incidental, consequential, or special damages arising out of or related to this agreement, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless DataShield Co., its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your participation in the Partner Program, including but not limited to your breach of this agreement or violation of any law or the rights of a third party.

14. Governing Law and Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. Any disputes arising under or in connection with this agreement shall be resolved exclusively in the courts located in British Columbia.

15. Amendments

DataShield Co. reserves the right to modify these Terms at any time. We will notify Partners of any significant changes, and continued participation in the Partner Program constitutes acceptance of the revised Terms.

DataShield Co. reserves the right to terminate your Affiliate / Partner account for any reason. DataShield Co. reserves the right to completely close down the following business and all accounts within them: DataShield Co. & DataShield Co. Partner Program, at any time, with at least 90 days given notice (all remaining balances will be paid out to Partners)

16. Miscellaneous

Independent Contractors: Nothing in this agreement shall be construed to create a partnership, joint venture, or agency relationship between you and DataShield Co. You are an independent contractor responsible for your own business activities and compliance with applicable laws.

Assignment: You may not assign or transfer your rights or obligations under this agreement without prior written consent from DataShield Co.

Entire Agreement: This agreement constitutes the entire understanding between you and DataShield Co. regarding the Partner Program and supersedes all prior agreements and understandings.

Please note: While we refer to participants in this program as "Partners," this designation is synonymous with "Affiliate Marketers" in legal contexts. This clarification is made to ensure transparency and compliance with applicable laws and regulations.
